I. ACCEPTANCE AND SCOPE OF SERVICES
These Terms of Use (this "Agreement" or "Terms") constitutes a binding legal agreement between you ("User," "you," or "your") and Meridian Interactive Pte. Ltd., a Singapore private limited company with its registered office at 60 PAYA LEBAR ROAD #04-16 PAYA LEBAR SQUARE SINGAPORE 409051 ("Meridian," "the Company," "we," "us," or "our").
By accessing or using our casual games, mobile platforms, software applications, or digital interfaces (collectively, the "Platform"), you represent that you have read, understood, and agreed to be bound by all terms and conditions set forth in this Agreement. Your use of the Platform constitutes your acceptance of this Agreement.If you do not agree to any provision of this Agreement, you must immediately discontinue all use of the Platform and uninstall all related software.
II. USER QUALIFICATIONS AND MINOR ACCESS
2.1 Minimum Age Requirement
• The Platform is intended for a general audience but is subject to a strict minimum age requirement. By accessing the Platform, you represent and warrant that you are at least thirteen (13) years of age. Use of the Platform by anyone under the age of 13 is strictly prohibited and constitutes a material breach of this Agreement.
2.2 Guardian Consent and Supervision
• Users who are at least 13 years old but have not reached the age of majority in their jurisdiction may use the Platform only with the active supervision and consent of a parent or legal guardian. Such parent or legal guardian agrees to be responsible for:
• Monitoring the minor's use of the Platform;
• Approving and managing all financial transactions;
• Ensuring the minor's compliance with all safety and community rules.
2.3 Status Verification
• Meridian reserves the right to implement age and guardian verification procedures. Failure to provide requested documentation may result in immediate suspension of access to the Platform, without prior notice.
III. MEMBER ACCOUNTS AND AUTHENTICATION
3.1 Registration Process
• To access premium features or save game progress, you may create a unique Member Account ("Account"). You agree to provide current, accurate, and complete information during registration.You may not use a username that is misleading, infringes third-party trademarks, or is deemed offensive or inappropriate by the Company.
3.2 Security Responsibilities
• You are solely responsible for maintaining the confidentiality of your Account credentials. You agree to:
• Safeguard your password and linked social media tokens;
• Prevent unauthorized third-party access to your Account;
• Immediately notify [email protected] if you become aware of any unauthorized use or security breach.
3.3 NonTransferability
• Accounts are personal and nontransferable. Meridian does not recognize any "secondary market" for Accounts. Any attempt to sell, trade, or lease your Account will result in permanent Account termination.
IV. ENDUSER LICENSE AND RESTRICTIONS
4.1 Limited License Grant
• Subject to your full compliance with this Agreement, Meridian grants you a revocable, nonexclusive, nonassignable license to use our casual gaming software solely for your personal, noncommercial entertainment purposes.
4.2 Prohibited Exploitations
• You shall not, directly or indirectly, attempt to:
• Deconstruct: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
• Modify: Alter, adapt, or create derivative works based on the Company's proprietary content;
• Harvest: Use automated scripts, bots, or scrapers to collect data from or interact with the Platform;
• Commercialize: Use the Platform for any business, commercial, or professional purpose.
V. VIRTUAL ASSETS AND INGAME UTILITY ITEMS
5.1 Definition of Utility Items
• Within our casual games, you may obtain "InGame Utility Items," including digital items such as powerups, decorative skins, and gameplayenhancing points.
5.2 Legal Characterization
• You acknowledge and agree that InGame Utility Items:
• Do not constitute personal property, real currency, digital currency, or stored value;
• Are merely licensed software features for entertainment purposes;
• Have no realworld monetary value;
• Cannot be redeemed for cash, currency, or other value from the Company.
5.3 Management and Expiration
• Meridian reserves the absolute right, in its sole discretion, to adjust, rebalance, modify, or remove InGame Utility Items to maintain game balance or technical integrity. You are not entitled to any compensation for such changes.
VI. GLOBAL COMMUNITY STANDARDS
Meridian is committed to a respectful and safe environment. You agree not to engage in any of the following prohibited conduct:
• Antisocial Behavior: Harassment, bullying, stalking, hate speech, or abusive content;
• Illicit Content: Uploading defamatory, pornographic, sexually explicit, racially insensitive, or illegal material;
• Artificial Advantages: Using unauthorized hacks, cheats, bots, mods, or thirdparty tools to gain an unfair advantage;
• Disruption: Intentionally interfering with server stability, game functionality, or the user experience of others.
VII. INTELLECTUAL PROPERTY AND USER CONTENT
7.1 Company Ownership
• All visual designs, music, narratives, code, trademarks, and other intellectual property on the Platform are and remain the exclusive property of Meridian Interactive Pte. Ltd. Unauthorized use of our trademarks or copyrighted materials is strictly prohibited.
7.2 UserGenerated Content License
• By creating or uploading content through the Platform, you grant Meridian a perpetual, worldwide, royaltyfree, nonexclusive license to use, reproduce, modify, and display your content for operational or promotional purposes. You warrant that your content does not violate the rights of any third party.
VIII. FINANCIAL TRANSACTIONS AND REFUNDS
8.1 Billing via Third Parties
• All purchases of InGame Utility Items are processed through thirdparty payment providers, including but not limited to the Apple App Store and Google Play Store. You are responsible for the accuracy of your payment information and your authority to use the selected payment method.
8.2 NoRefund Policy
• TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ALL TRANSACTIONS ARE FINAL AND NONREFUNDABLE.Upon Account closure — whether initiated by you or the Company — any unused InGame Utility Items are forfeited with no right to refund or compensation.
IIV. LIABILITY AND WARRANTY DISCLAIMERS
9.1 Service "ASIS"
• The Platform is provided "ASIS" and "ASAVAILABLE". Meridian makes no warranties, express or implied, regarding service availability, errorfree operation, uninterrupted use, or absolute data security.
9.2 Liability Thresholds
• In no event shall Meridian Interactive Pte. Ltd. be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.Our maximum aggregate liability for any claim shall not exceed the lesser of:
• SGD $150.00; or
• The total amount you paid to Meridian in the six (6) months immediately preceding the claim.
X. INDEMNITY
• You agree to indemnify, defend, and hold harmless Meridian, its directors, officers, employees, and agents from and against all claims, damages, losses, costs, and legal fees arising from:
• Your breach of this Agreement;
• Your User Content;
• Your violation of any applicable laws or regulations.
XI. SERVICE DISCONTINUATION AND TERMINATION
11.1 Right to Terminate
• We reserve the right to suspend, restrict, or permanently terminate your Account at any time, without prior notice, if we reasonably suspect fraud, cheating, hacking, or violation of this Agreement or community standards.
11.2 Voluntary Exit
• You may terminate this Agreement at any time by deleting your Account and uninstalling all Platform software from your devices.
XII. GOVERNING LAW AND DISPUTE RESOLUTION
12.1 Governing Law
• This Agreement is governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.
12.2 Amicable Resolution
• In the event of a dispute, the parties agree to negotiate in good faith for a period of at least sixty (60) days before initiating any formal proceeding.
12.3 Formal Arbitration
• If the dispute cannot be resolved amicably, it shall be submitted to binding arbitration in Singapore, administered by the Singapore International Arbitration Centre (SIAC) under its theneffective arbitration rules.

• Number of arbitrators: one (1)
• Language of arbitration: English
XIII. MISCELLANEOUS
13.1 Severability
• If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be modified or enforced to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.
13.2 Entire Agreement
• This Agreement constitutes the final, complete, and exclusive understanding between you and Meridian Interactive Pte. Ltd. regarding the Platform and supersedes all prior agreements or representations.
